DroneAdHub Operator Terms of Service

These Operator Terms of Service (the "Operator Terms") govern your access to and use of the DroneAdHub marketplace as a certified drone operator or drone services provider.

Platform Role

DroneAdHub is a marketplace that facilitates introductions and bookings between event organizers and independent drone operators. DroneAdHub does not control, direct, or manage drone show execution and is not a party to any service engagement between operators and organizers. DroneAdHub itself does not operate drones and acts solely as a platform and facilitator.

By clicking to accept or by using the DroneAdHub Solution, you accept these Operator Terms, which may be updated with at least thirty (30) days' prior notice via email, and material changes will require your explicit consent to continue using the DroneAdHub Solution; the current Operator Terms will be posted on our website and we will notify Operators of significant changes by email.

1. Definitions; Acceptance; Updates

"Account" means your DroneAdHub account and associated credentials.

"Client" means a user purchasing or booking services.

"Content" means all data, images, video, text, or other materials you provide, including creative assets.

"DroneAdHub Solution" means the web portal and mobile application operated by DroneAdHub to facilitate bookings, coordination, and payments.

"Operator" means you, an independent contractor drone operator or drone services provider who offers or performs services through the DroneAdHub Solution.

"Platform Fee" means the portion of fees retained by DroneAdHub for facilitating the services.

"Private Event" means a bespoke event booked under Private Event Hire.

"Slot Event" means a public event where time-based aerial advertising is delivered.

"Stripe" means Stripe, Inc. and its affiliates, which provide payment processing services used by DroneAdHub to process payments for the Services.

"User Content" means any Content you submit through the Services.

2. Platform Role; Access and Suspension

DroneAdHub provides limited, non-exclusive access to the DroneAdHub Solution for your internal business purposes as an Operator and reserves all rights not expressly granted. DroneAdHub may suspend or restrict access for any of the following: (A) a threat or attack on any part of the DroneAdHub Solution; (B) your use or any User's use that disrupts or poses a security risk to DroneAdHub or other users; (C) use for fraudulent or illegal activities; (D) violations of these Operator Terms (including Prohibited Activities), legal non-compliance, or payment fraud; or (E) where provision of the DroneAdHub Solution is prohibited by applicable law (each, a "Service Suspension"). DroneAdHub will use commercially reasonable efforts to provide notice of any Service Suspension and to restore access when appropriate.

The DroneAdHub Solution facilitates connections and payment processing and does not control on-site safety, airspace decisions, or operational execution. Operators act as independent contractors and not as employees, agents, or partners of DroneAdHub.

3. Operator Eligibility, Onboarding, and Verification

You must meet all eligibility requirements before activation, including valid Transport Canada pilot certification, aircraft registration, and minimum commercial general liability insurance coverage in the amount of at least $2,000,000, and you must maintain these at all times while offering services. DroneAdHub may require proof of credentials and insurance during onboarding and periodically thereafter. Operator onboarding includes registration, credential verification, review of event venues, and confirmation of availability before events are made bookable to Clients through the platform. DroneAdHub may request additional evidence of performance and quality assurance materials. Any review or approval by DroneAdHub is for administrative verification only and does not relieve Operator of its obligations.

4. Operator Responsibilities and Standards of Care

You are solely responsible for safe flight operations, compliance with Canadian Aviation Regulations, airspace authorization and local restrictions, pre-flight risk assessment including weather and crowd conditions, and equipment maintenance with adherence to seasonal battery limitations communicated by DroneAdHub. Before indicating availability for an event, Operator will review the venue and surrounding environment and confirm that a drone show can be safely and lawfully performed, considering site constraints, crowd proximity, airspace, and local conditions.

Operator is solely responsible for obtaining and maintaining all permits, permissions, authorizations, and regulatory approvals required for the applicable flight operations, including but not limited to aviation authority approvals, airspace authorizations, and site access permissions.

Operator will promptly notify DroneAdHub upon becoming aware of any concern related to venue safety, regulatory compliance, weather conditions, airspace limitations, or other execution risks that may affect feasibility, timing, or safety of the show.

Operator will perform and complete the confirmed drone show in accordance with the booking details, applicable law, and industry safety practices, unless performance would be unsafe or unlawful.

Within 24 hours after completion, Operator will submit high-quality full-show footage and any other proof of performance reasonably required by DroneAdHub for verification.

For Private Events, you are responsible for venue coordination, permits, and implementing on-site safety protocols and instructions, and Clients must follow your safety directives during performance. You must review and comply with the DroneAdHub Transport Canada Drone Compliance Guide as incorporated by reference, including maintaining certifications, registrations, insurance, and operational practices described therein and in applicable law.

Important: Nothing in these Terms requires Operator to fly in unsafe or unlawful conditions. Operator remains responsible for timely notice of such conditions, and the cancellation and payment rules stated herein will apply.

5. Service Models; Acceptance and Fulfillment

DroneAdHub operates two models: Slot Advertising (time-based aerial display slots at designated public events); and Private Event Hire (custom engagements); model-specific terms apply to each, including processes and pricing.

Operators mark availability for Slot Events, after which the platform allows Clients to book. Once booked and confirmed, you receive slot details and creative content for execution according to platform guidelines.

For Private Events, DroneAdHub introduces qualified Operators for Client acceptance. After booking, you and the Client coordinate directly, subject to applicable payment and safety terms.

DroneAdHub pre-screens Operators and collects Client feedback for quality assurance and may seek a replacement Operator if a confirmed Operator cannot fulfill a booking, without liability for unavailability.

6. Acceptable Use and Conduct

You must not use the DroneAdHub Solution for unlawful or prohibited activities, including providing fraudulent information, circumventing platform payments, harassing users, violating Transport Canada regulations, or infringing intellectual property rights. Violations may result in suspension or termination. Additionally, you will not: copy, modify, or create derivative works of the DroneAdHub Solution; rent, lease, lend, sell, license, sublicense, assign, distribute, publish, transfer, or otherwise make the DroneAdHub Solution available except as permitted; reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to any software component of the DroneAdHub Solution; remove proprietary notices; use robots, spiders, scrapers, or other automated means to access the Services without written permission; transmit unsolicited or bulk communications except as expressly enabled for a booked event; or attempt to disable, bypass, or circumvent security or access-control features.

You are responsible for all activity under your Account and for maintaining the confidentiality of access credentials, and you agree to indemnify DroneAdHub for losses arising from unauthorized use or violations through your Account.

7. Fees, Payouts, Taxes, and Withholdings

Payments for Slot Bookings are processed at booking via Stripe (or another designated payment processor). Operator may submit an invoice only after DroneAdHub confirms receipt of required proof of performance. Invoices must reference the booking ID and any supporting documentation specified by the platform.

Payments to operators are issued only upon successful completion of the drone show and submission of required proof, subject to DroneAdHub's verification and approval. Upon approval of proof and invoice, payment will be processed in accordance with the agreed or market rate and the payment schedule shown at booking.

For Private Events, a deposit is due at booking with remaining funds due before the event; funds are held in escrow and released within 48 hours after confirmed successful completion, and Clients are entitled to a refund if the matched Operator fails to deliver agreed services.

Fees are exclusive of taxes. You are responsible for all applicable taxes, duties, and government assessments related to your services, excluding taxes on DroneAdHub's income. DroneAdHub may withhold or delay Operator payouts for disputes, chargebacks, cancellations, suspected fraud, or material breach, and may offset amounts owed to DroneAdHub against Operator payouts consistent with these Operator Terms. The Platform Fee retained by DroneAdHub applies to each booking and is disclosed via the platform at the time of engagement.

8. Cancellations, Rescheduling, and Refunds

Slot Events Refund Policy

  • Weather-related Operator cancellation results in full refund to Client
  • Organizer cancellation of the public event results in full refund
  • Client cancellations more than seven (7) days before event yield a full refund less a ten percent (10%) processing fee
  • Three (3) to seven (7) days yield a fifty percent (50%) refund
  • Cancellations less than three (3) days before an event yield no refund
  • Operator no-show results in full refund plus a $500 inconvenience credit to Client

Operator payouts for Slot Events are contingent on confirmed successful completion. DroneAdHub is not responsible for payments in the event of cancellations due to weather, regulatory restrictions, airspace limitations, or event cancellations by organizers. In such cases, no payment is owed unless expressly stated in the applicable booking terms.

For Private Events, cancellations and rescheduling are governed by a tiered schedule, and one reschedule is permitted up to 30 days before the event, subject to availability and price adjustments; payouts follow the escrow release rules after successful completion.

Operator acknowledges that compensation is based on either the rate expressly agreed in the booking or, where no specific rate is agreed, the prevailing market rate indicated on the platform for comparable services.

DroneAdHub may adjust or claw back Operator payouts to honor refunds or credits issued under these policies.

If Operator disputes a payment determination, it must notify DroneAdHub in writing within seven (7) days of notice of determination, providing supporting materials. DroneAdHub will review and respond within a commercially reasonable period, and its decision will be final for platform administrative purposes.

9. Content, IP, and Use of Creative Assets

Clients submit creative assets for shows, and Operators may use such assets solely to perform the booked services. DroneAdHub may reject or require modification of content that does not meet Canadian advertising standards or event restrictions.

As between you and DroneAdHub, DroneAdHub owns the DroneAdHub Solution and related intellectual property, and you retain rights in your own User Content, subject to a licence necessary for platform operation. Feedback you provide may be used by DroneAdHub without obligation. Operators may not use advertiser assets outside the scope of the contracted performance or for unrelated promotions without the Client's consent.

10. Compliance; Monitoring; Cooperation with Authorities

DroneAdHub may monitor use of the Services for violations and remove content or suspend accounts, and may disclose information to authorities if unlawful use is suspected to the extent permitted by law. Operators must notify DroneAdHub of any regulatory, safety, venue, or airspace developments that could impact scheduled performances, including changes affecting feasibility or compliance, as part of their ongoing compliance obligations.

11. Insurance and Risk Allocation

Operator will maintain, at its own expense, all insurance required by applicable law and sufficient to cover its operations, including aviation/drone liability insurance with limits appropriate to the scope and risk of services. Failure to maintain required insurance is grounds for suspension or termination.

To the fullest extent permitted by law, you indemnify and hold harmless DroneAdHub and its affiliates, and their directors, officers, employees, and agents, from and against claims, losses, liabilities, damages, costs, and expenses arising from your operations, including failure to obtain required approvals or to comply with applicable laws and regulations, personal injury or property damage during flight operations, or breach of these Operator Terms, except to the extent caused by DroneAdHub's fraud or willful misconduct.

DroneAdHub will indemnify Operators to an agreed extent against claims arising solely from advertiser misuse of Content routed through the platform, excluding Operator acts or omissions and subject to applicable limitations and procedures.

12. Privacy, Confidentiality, and Data

DroneAdHub processes personal information in accordance with its Privacy Policy and PIPEDA, including time-limited sharing of coordination data with matched Operators and scheduled deletion thirty (30) days after event completion, subject to legal retention requirements.

You must safeguard Confidential Information disclosed to you and use it only to perform services, subject to limited exceptions required by law. Confidentiality obligations apply during use of the Services and for five years after disclosure, and trade secrets remain protected for so long as they qualify as trade secrets under applicable law.

DroneAdHub may create and use Aggregated Statistics derived from platform usage in compliance with applicable privacy law.

13. Modifications to Services and Events

DroneAdHub may modify, suspend, or discontinue parts of the Services or event parameters (including pricing tiers, slot durations, or platform fees) with reasonable notice and will use commercially reasonable efforts to minimize disruption and propose alternatives when feasible. Display durations may vary seasonally for safety and battery reasons. Event availability is pre-approved by Operators for safety and feasibility, and Operators retain discretion to confirm availability and to decline performance where unsafe.

14. Termination and Deactivation

DroneAdHub may suspend, restrict, or terminate Operator's access to the platform, in whole or in part, for repeated non-compliance with these Terms, repeated cancellations, safety violations, or failure to meet platform standards. Your access tied to specific event organizers or venues may terminate if DroneAdHub's agreements with such partners ends.

You may terminate at any time by closing your account, provided that termination does not affect obligations accrued prior to termination, including chargebacks or indemnity obligations that survive termination. Upon termination, you must discontinue use of the DroneAdHub Solution and return or delete Confidential Information.

15. Disclaimers; Limitations; Release

Except for any limited warranty regarding platform provision using commercially reasonable care, the DroneAdHub Solution is provided "as is," and DroneAdHub disclaims all other warranties and conditions, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

To the maximum extent permitted by law, DroneAdHub will not be liable for indirect, incidental, special, consequential, exemplary, or lost profits damages, and DroneAdHub's aggregate liability arising out of or related to the services will not exceed the fees retained by DroneAdHub for the affected booking.

You release DroneAdHub from claims arising out of interactions with Clients and other users, except for claims resulting from DroneAdHub's fraud or willful misconduct.

16. Dispute Resolution

You and the Client should first attempt direct resolution, then request DroneAdHub-facilitated mediation. Unresolved disputes proceed to an internal review on a documented record (target 5-7 business days) within the indicated timelines outlined by DroneAdHub. Nothing in this section limits either party's ability to seek injunctive relief for misuse of intellectual property or breach of confidentiality.

17. Compliance with Laws; Safety; and Platform Standards

Operator will comply with all applicable laws, regulations, and airspace rules, adhere to DroneAdHub's quality, safety, and platform standards, and follow recognized industry best practices for flight operations and show design.

18. Recordkeeping and Audit Cooperation

Operator will maintain accurate records of flight operations, approvals, and proof of performance for at least twelve (12) months and will provide copies to DroneAdHub upon reasonable request for verification.

19. Social Media

Operator agrees to reasonable social media collaboration with DroneAdHub related to completed shows. Operator may opt out at any time by notifying support, and DroneAdHub will cease future collaboration requests.

20. Non-Circumvention

Operator will not circumvent the platform by soliciting or accepting bookings directly from organizers or leads first introduced through DroneAdHub for a period of twelve (12) months following the last interaction via the platform, unless expressly authorized in writing by DroneAdHub.

21. Governing Law; Jurisdiction

These Operator Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, and disputes, proceedings, or claims arising out of or in connection with these Operator Terms are subject to the exclusive jurisdiction of the Ontario courts.

22. General Provisions

No agency, partnership, joint venture, or employment is created by these Operator Terms, and Operators have no authority to bind DroneAdHub. Operator acts as an independent contractor and not as an employee, agent, or partner of DroneAdHub. Operator has exclusive control over the means and methods of its services. If any provision is held invalid or unenforceable, the remaining provisions remain in full force. Waivers must be in writing. These Operator Terms constitute the entire agreement between you and DroneAdHub regarding Operator use of the DroneAdHub Solution and supersede prior understandings concerning the subject matter. Provisions intended to survive termination do so, including indemnities, confidentiality, limitations of liability, and dispute resolution. DroneAdHub trademarks may not be used without prior written consent, and cookies and security practices are described in DroneAdHub's Privacy Policy.

23. Changes to Terms

DroneAdHub may modify these Terms from time to time. Material changes will be communicated via the platform or email and will become effective as stated in the notice. Continued use after the effective date constitutes acceptance.
