DroneAdHub User Terms of Service

These Terms of Service govern your access to and use of the DroneAdHub platform as a business or individual advertiser purchasing aerial advertising slots or booking private drone shows.

Agreement to Terms

These Terms of Service govern your access to and use of the DroneAdHub web portal, mobile application, and related services as a business or individual advertiser purchasing aerial advertising slots at public events or booking celebratory/private drone shows (collectively, the "Services"). By creating an account, booking a slot or private event, submitting creative assets, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.

1. Definitions; Acceptance; Changes

For purposes of these Terms:

"Account" means your DroneAdHub account and associated credentials.

"Advertiser", "you", and "Client" mean a business or individual purchasing Services through the platform.

"Content" means all data, images, video, text, or other materials you provide, including creative assets.

"DroneAdHub IP" means the DroneAdHub Solution and all intellectual property provided to you in connection with the DroneAdHub Solution or Services, including Aggregated Statistics, but excluding your User Content.

"DroneAdHub Solution" means the proprietary web portal and mobile application for accessing and managing Services.

"Operator" means a Transport Canada–certified independent contractor drone pilot or drone services provider listed on the DroneAdHub Solution who offers or performs aerial advertising or Private Event displays booked via the Services and is solely responsible for flight operations, permits, venue coordination, and legal compliance.

"Private Event" means a custom private drone display coordinated through the platform.

"Platform Fee" means the portion of total fees retained by DroneAdHub for facilitating Services.

"Slot Advertising" means time-based aerial advertising slots at DroneAdHub-organized public shows.

"Slot Event" means a public event at which Slot Advertising is delivered.

"Stripe" means Stripe, Inc. and its affiliates, which provide payment processing services used by DroneAdHub to process payments for the Services.

"User Content" means any Content you submit through the Services.

You accept these Terms when you click to accept, create an Account, or access or use the Services. DroneAdHub may update these Terms with at least thirty (30) days' prior notice by email; material changes may require explicit consent to continue using the Services. The then-current Terms will be posted on our website.

2. Scope of Services

DroneAdHub provides: (a) Slot Advertising consisting of tiered, time-limited aerial display slots at designated public events, and (b) Private Event services matching Clients with qualified Operators for custom-duration shows, with Services available across Canada. Model-specific processes, pricing, or policies apply as stated in these Terms.

Seasonal duration limits may apply due to battery and safety constraints, generally shorter in winter months and longer in summer.

DroneAdHub pre-screens Operators for qualifications and experience and monitors performance via Client feedback. If a matched Operator cannot fulfill a confirmed booking, DroneAdHub will use commercially reasonable efforts to identify a replacement. DroneAdHub facilitates connections and payment processing but does not operate drones or control on-site safety or execution; Operators act as independent contractors.

Browsing events is informational and creates no binding obligations. An Account is required to book Slots or Private Events and to submit assets. Event availability and timing are subject to change.

For Private Events, Clients submit event details through the Services; DroneAdHub identifies qualified Operators and facilitates introductions. The Operator provides a custom quote for Client review and acceptance. After booking, the Client and Operator coordinate directly on execution. Payments and deposits follow Section 6.

3. Licence; Acceptable Use; Service Suspension

Subject to these Terms, DroneAdHub grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for your internal business purposes or personal use and not for resale. You may not copy, modify, reverse engineer, or otherwise misuse the DroneAdHub Solution, remove proprietary notices, or use the Services in violation of law or third-party rights.

DroneAdHub may monitor use for violations, remove User Content that violates these Terms, and temporarily suspend access if there is a security threat, suspected illegal activity, violations of these Terms (including Prohibited Activities), or if provision of Services is prohibited by law. DroneAdHub will use commercially reasonable efforts to provide notice and to resume access once cured, but is not liable for resulting losses due to suspension.

Notwithstanding anything to the contrary, DroneAdHub may monitor your use of the Services and collect and compile data and information related to such use to be used by DroneAdHub in an aggregated and anonymized manner, including to compile statistical and performance information related to the provision and operation of the Services (Aggregated Statistics). As between you and DroneAdHub, all right, title, and interest in Aggregated Statistics, and all intellectual property rights therein, belong to and are retained solely by DroneAdHub. DroneAdHub may make Aggregated Statistics publicly available in de-identified form in compliance with applicable privacy laws.

Except for the limited rights expressly granted in these Terms, no other rights or licences are granted by implication, waiver, estoppel, or otherwise. DroneAdHub reserves all rights not expressly granted.

DroneAdHub may modify, suspend, or discontinue parts of the Services (including pricing tiers, slot durations, or platform fees) with reasonable notice and will use commercially reasonable efforts to minimize disruption and propose alternatives when feasible.

You must use the Services in compliance with applicable laws and these Terms and may not resell the Services. Prohibited Activities include submitting fraudulent information, circumventing platform payments, harassment, violations of Transport Canada regulations or applicable laws, and submitting content that violates Canadian standards or promotes illegal activities.

4. Advertiser Responsibilities

You are responsible for all activity under your Account and agree to indemnify DroneAdHub for losses arising from unauthorized use or violations of these Terms through your Account. You are responsible for maintaining the confidentiality of your credentials and promptly notifying us of any unauthorized access.

You grant DroneAdHub a non-exclusive, royalty-free, worldwide licence to use, reproduce, distribute, display, and process your User Content as necessary to provide the Services. You represent and warrant that your User Content and its use will comply with these Terms and applicable law.

For Slot Advertising, you must provide final creative assets in the specified format at least fourteen (14) days before the scheduled event. Submitted advertising must comply with applicable Canadian advertising laws and standards and any event-specific restrictions; DroneAdHub may reject or require modification of non-compliant content. Business Users must provide accurate information and authorized payment methods; respect event and venue rules; fulfill payment obligations; and deliver final content in the requested format on time.

Where applicable to your use of Private Events, you acknowledge that Operators are responsible for permits, venue coordination, and operational compliance, and you agree to follow Operator safety instructions.

5. Canadian Compliance; Content Standards

You agree to comply with applicable Canadian laws, including the Competition Act and Canadian advertising standards, and not to submit content that infringes third-party rights or is unlawful, defamatory, obscene, or otherwise prohibited. DroneAdHub may reject, require modifications, or remove content to comply with law or event restrictions.

Transport Canada operational compliance is the responsibility of Operators; however, you agree not to request or induce non-compliant operations and to respect all applicable safety rules communicated for an event or Private Event. The Transport Canada Drone Compliance Guide published by DroneAdHub is incorporated by reference for general guidance; to the extent it summarizes applicable law for operational practices, it governs those practices while these Terms govern any conflicts otherwise.

6. Fees; Payments; Taxes; Cancellations and Refunds

To book a Slot Advertisement, you must provide a valid payment method. You authorize DroneAdHub to place a temporary hold on the funds required for the booking. Your payment method will be charged the full amount only upon DroneAdHub's confirmation that the corresponding Slot Event will proceed. Following your booking, you will receive a confirmation email acknowledging your reservation and instructing you to prepare your User Content for submission.

Fees are exclusive of applicable taxes; you are responsible for taxes, duties, and government assessments associated with your transactions, excluding taxes based on DroneAdHub's income.

Slot Event Cancellations and Refunds:

  • Weather-related Operator cancellation - full refund
  • Organizer cancellation of the public event - full refund
  • Client cancellation 3 days or less before the event - no refund
  • Operator no-show - full refund

For Private Events, pricing is custom. A 50% deposit is due at booking. Once the Client has agreed to the customized final quote based on the event needs, the Client must pay the remaining amount to book the show. Funds are securely held and released to the Operator upon completion. If the matched Operator fails to deliver the agreed services, the Client is entitled to a full refund.

Private Event Cancellations and Rescheduling:

  • More than 14 days - full refund less 15% coordination fee
  • Cancellation 7 - 14 days - 50% refund
  • One reschedule is permitted up to 30 days before the event, subject to Operator availability and any price adjustments

The platform may modify pricing tiers, slot durations, or platform fees with reasonable notice, and will use commercially reasonable efforts to minimize disruption.

7. Intellectual Property; Trademarks; Feedback

As between you and DroneAdHub, DroneAdHub owns all right, title, and interest in and to the DroneAdHub Solution and Services, including all intellectual property rights, and you own your User Content. You receive no rights in DroneAdHub IP except as expressly granted.

The trademarks and logos displayed on the DroneAdHub Solution are the property of DroneAdHub or third parties; you may not use them without prior written consent.

If you submit ideas, suggestions, or feedback, DroneAdHub may use them without restriction or compensation, and you assign all rights in such feedback to DroneAdHub.

8. Confidentiality

From time to time, DroneAdHub may disclose or make available to you information about its business affairs, products, confidential intellectual property, trade secrets, third-party confidential information, and other sensitive or proprietary information (collectively, "Confidential Information"). You shall not disclose Confidential Information, except to your personnel or contractors who need to know it to use the Services and who are bound by confidentiality obligations at least as protective as these. Notwithstanding the foregoing, you may disclose Confidential Information to the limited extent required to comply with the order of a court or other governmental body, or as otherwise necessary to comply with applicable law, provided that you shall first give written notice to DroneAdHub (where lawful) and make a reasonable effort to obtain a protective order. Your obligations of non-disclosure with regard to Confidential Information are effective as of the date such Confidential Information is first disclosed to you and will expire five (5) years thereafter; provided, however, with respect to any Confidential Information that constitutes a trade secret (as determined under applicable law), such obligations of non-disclosure will survive termination for as long as such information remains a trade secret under applicable law.

9. Privacy; Cookies; Security

DroneAdHub processes personal information in accordance with its Privacy Policy and applicable privacy laws, including PIPEDA. For Private Events, coordination data is shared with matched Operators and scheduled for deletion 30 days after event completion, subject to legal retention requirements.

To the extent you provide personal information of third parties to DroneAdHub (for example, images, likenesses, audio/video recordings, or contact information of individuals depicted in creative assets or attending Private Events), you are solely responsible for providing all required notices and obtaining all legally required consents or authorizations for such disclosure and processing under applicable privacy laws (including PIPEDA and any substantially similar provincial privacy laws). Upon our reasonable request, you will provide evidence of such notices and consents. You also agree to promptly notify DroneAdHub if any such consent is withdrawn or materially changes.

The DroneAdHub Solution uses cookies to identify users, compile usage statistics, and provide customized services, as described in the Privacy Policy.

DroneAdHub employs reasonable administrative, technical, and organizational measures designed to protect personal information.

10. Monitoring; Unlawful Use; Cooperation with Authorities

DroneAdHub may monitor use for violations and may suspend or delete Accounts to protect the Services or other users, and may remove User Content that violates these Terms. If DroneAdHub believes you have used the Services unlawfully, it may disclose relevant information to authorities to the extent permitted or required by law.

11. Disclaimers; Release

DroneAdHub warrants that it provides the Services using a commercially reasonable level of care and skill; otherwise, the Services are provided "as is," and DroneAdHub disclaims all other warranties and conditions, express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, title, non-infringement, and those arising from course of dealing or usage.

DroneAdHub facilitates connections and payments but does not operate drones or control on-site safety or execution; Operators are independent contractors. To the extent permitted by law, you release DroneAdHub from claims arising out of your interactions with Operators or other users, excluding claims arising from DroneAdHub's fraud or willful misconduct.

12. Limitation of Liability

To the maximum extent permitted by applicable law, DroneAdHub, its affiliates, directors, employees, suppliers, or licensors are not liable for any indirect, punitive, incidental, special, consequential, or exemplary damages (including lost profits, goodwill, data, or use), or for personal injury or property damage arising from your access or use of the Services, unauthorized access, interruptions, or harmful code. Subject to law, DroneAdHub's total liability arising from a specific event is limited to the platform fee collected for that event, except for liability that cannot be limited by law (e.g., fraud or willful misconduct). These limitations apply regardless of the theory of liability and even if advised of the possibility of such damages.

13. Termination; Effect of Termination

DroneAdHub may immediately terminate access if you materially breach these Terms, become insolvent, or if underlying service agreements with event organizers, venues, or other partners terminate. DroneAdHub may also terminate for convenience on at least thirty (30) days' advance notice. If your access is provided through a partner, access tied to that partner may terminate upon the end of our partner agreement. You may terminate at any time by closing your Account or deleting the app. Upon termination, you must cease use of the Services; termination does not affect your obligation to pay amounts due.

14. Dispute Resolution Between the Parties

You and the Operator should first attempt direct resolution, then request DroneAdHub-facilitated mediation. Unresolved disputes proceed to a documented internal review (target resolution window is 5–7 business days). Where a dispute concerns services performed by an Operator, DroneAdHub may, at its discretion, facilitate communications between you and the Operator; however, Operators remain independent contractors.

15. Governing Law; Venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. All disputes arising out of or in connection with these Terms are subject to the exclusive jurisdiction of the courts of Ontario.

16. General

No agency, partnership, joint venture, or employment relationship is created by these Terms; Operators are independent contractors. Any consent or waiver must be in writing and signed by the waiving party. These Terms constitute the entire agreement regarding the subject matter and supersede prior understandings. If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Any provision intended by its nature to survive termination will survive.

Annex A: Advertiser Content Standards and Delivery

Content delivery timelines

For Slot Advertising, deliver final image/video assets in the specified format at least fourteen (14) days prior to the scheduled event. Late or non-conforming content may delay or prevent display without refund beyond the applicable cancellation policy.

Legal compliance

Content must comply with Canadian advertising laws and standards, must not infringe third-party rights, and must comply with event-specific restrictions and venue rules.

Platform review

DroneAdHub may review, request modifications, or reject content that is unlawful, non-compliant, misleading, or inappropriate for the event context.

Use of event trademarks

Use of third-party event names or marks is subject to rights holder permissions; you are responsible for ensuring all necessary permissions for included marks or content.

Data and analytics

DroneAdHub may compile aggregated and anonymized statistics regarding campaign performance and Services usage and may make such statistics publicly available in de-identified form in compliance with applicable privacy laws.
